PURCHASE AGREEMENT


1- PARTIES

2- SUBJECT

Seller and Buyer have concluded this Agreement for sale of machinery described below in Article 3.

3- DESCRIPTION OF THE MACHINERY

4- DELIVERY AND INSTALLATION

4.1 Delivery of the goods, which shall be made on the following dates: …………

4.2 Time is of the essence of this Agreement and Seller undertakes to strictly comply with the erection and commissioning schedule. (Penalty for late delivery, delays in erection, commissioning or training may be inserted)

4.3 Seller undertakes to complete the installation, erection and commissioning of the machinery pursuant to following work plan: (detailed information about the procedure)

4.4 Seller undertakes to train the employees assigned by the Buyer pursuant to the following schedule:………………..

4.5 Seller undertakes to send experts for mechanical, electrical, electronical erections and Buyer is authorized to request replacement of such expert. However, the right of the Buyer to request replacement shall not in any way decrease the liability and guarantee of the Seller to send a competent expert for this particular assignment.


5- PRICES AND PAYMENT

5.1 The total value of the machinery including the actions stated in Article 4 of this Agreement is ……………….and will be paid pursuant to following schedule. (Prices and payment terms will be set forth in this article).

5.1.1 …% of the value against shipping documents (this may change pursuant to payment terms)
5.1.2 …% of the value after commissioning against signing the commissioning form by both parties, (commissioning form must be attached)
5.1.3 …% of the value after the full functioning of the machinery against the execution of the performance form by the Buyer. (performance form must be attached)

5.2 All taxes, duties, fees or charges including but not limited to bank fees and charges belong to the Seller unless specified otherwise in this Agreement.

5.3 Seller is hereby authorized to apply payments received from Buyer first to amounts due under any order given by the Buyer including any accrued interest.

6- SPECIFICATIONS AND WARRANTIES

6.1 Seller hereby undertakes to the Buyer that the machinery shall conform to the following specifications and will be free from any defects in materials and workmanship: (Describe the specifications and warranties of the machinery in detail)

6.2 Seller hereby expressly warrants to the Buyer fitness of the machinery for intended use of the Buyer. (Describe intended use of the machinery)

6.3 The guarantee period for free replacements and defected parts is …………. Seller shall provide maintenance service for a period of ……….. years following acceptance of the machinery by Buyer.

6.4 If Buyer discovers any defects in the machinery or in its functionality, it shall notify Seller accordingly. Seller shall take all actions to eliminate such defects immediately and such actions shall include sending a technician, replacement of the defected part and repairment of the machine. All costs related to such actions shall be borne by Seller.

6.5 Seller shall indemnify Buyer and hold it harmless from and against any liability, expense, damage, cost or claim asserted by any person arising from or in connection with a breach of the warranties made by Seller.

7- CLAIMS

7.1 Buyer is entitled to but under no obligation of inspecting the machinery at the delivery point or thereafter. Failure of Buyer to inspect shall not constitute as acceptance of the machinery.

7.2 Any and all claims regarding the machinery for compensation of damages, replacement and defects shall be made by Buyer in writing.


8- AMENDMENTS

This Agreement may be amended only in writing signed by both parties.



9- FORCE MAJEURE

With respect to this Agreement Force Majeure situations are limited to the following: earthquake, storm, flood and war.

10- NON WAIVER

No course of dealing of failure of either party to strictly enforce any term, right or condition of this Agreement shall be construed as a waiver of that term, right or condition.

11- NOTICES

All notices required or permitted under this Agreement shall be in writing and addressed to the above mentioned addresses of the parties.

12- APPLICABLE LAW AND JURISDICTION

This Agreement shall be governed and construed by Turkish law and Istanbul courts shall have exclusive jurisdiction in any disputes regarding this Agreement.
